1. Acceptance of Terms

These Terms of Service ("Terms") constitute a binding legal agreement between you ("Customer," "you," or "your") and Campfire Labs, Inc. ("Campfire Labs," "we," "our," or "us"), a Delaware-registered corporation operating in Texas, governing your access to and use of Campfire Labs' software-as-a-service platform, websites, mobile applications, and related services (collectively, the "Services"). By accessing or using the Services, you agree to be bound by these Terms. If you do not agree, you must immediately discontinue use of the Services.

2. Description of Services

Campfire Labs provides a customer account management and digital collaboration platform that enables customers to build branded digital "rooms" to collaborate with their own clients through the sales, onboarding, and customer-success lifecycle. The Services may include communications features, file storage, analytics, integrations, and AI-powered functionality.

3. Eligibility and Accounts

You must be at least 18 years of age to create or use an account. You are responsible for maintaining the confidentiality of your credentials and for all activities occurring under your account. Campfire Labs may suspend or terminate any account that violates these Terms or is otherwise deemed by Campfire Labs to present risk to the Services or other users.

4. Subscriptions, Fees, and Payments

Subscription Model. The Services are offered on a per-seat SaaS subscription basis, with optional usage-based pricing and a freemium tier.

Billing. Fees are payable by credit card, invoice, or other authorized method. Unless otherwise agreed in writing, subscriptions automatically renew for successive terms.

Cancellations. You may cancel at any time via the dashboard or by contacting support@campfirelabs.io. Cancellations take effect at the end of the current billing cycle.

Refunds. Except as required by law, all fees are non-refundable. Refunds or credits may be issued solely at Campfire Labs' discretion.

Taxes. Customer is responsible for all applicable taxes other than those based on Campfire Labs' income.

5. User Content and License

5.1 Ownership

All content, files, videos, messages, and data uploaded or shared through the Services ("User Content") remain the property of the Customer that uploaded them.

5.2 License to Campfire Labs

By submitting User Content, you grant Campfire Labs a worldwide, non-exclusive, royalty-free license to host, store, display, transmit, process, and otherwise use such content solely as necessary to provide, maintain, and improve the Services.

5.3 No Cross-Tenant Access

Campfire Labs operates a multi-tenant architecture. User Content from one Customer will not be accessible to other Customers except as explicitly shared by you within the Services.

6. AI Features and Data Use

AI Processing. Campfire Labs may transmit certain data to third-party artificial-intelligence service providers (including OpenAI and similar vendors) to generate insights, summaries, recommendations, or other AI-powered outputs. By using the Services, you consent to this processing.

Internal Model Training. Campfire Labs may use de-identified or aggregated data to train and improve its proprietary models.

Analytics. Campfire Labs collects usage data for product improvement, performance optimization, benchmarking, and aggregated marketing insights. Such data will never include personally identifiable or confidential content.

7. Acceptable Use

You agree not to:

a. Use the Services for unlawful, harmful, threatening, harassing, defamatory, obscene, or fraudulent activities;

b. Upload or transmit any malicious code or security-compromising content;

c. Violate intellectual-property rights of others;

d. Reverse-engineer, decompile, or scrape any portion of the Services;

e. Use the Services to develop a competing product; or

f. Interfere with or disrupt the integrity or performance of the Services.

Campfire Labs may immediately suspend or terminate accounts for violations of this Section.

8. Integrations and Third-Party Services

The Services may integrate with third-party platforms (e.g., Zoom or other collaboration tools). Campfire Labs is not responsible for any third-party services, their availability, or the treatment of data by those providers. Use of third-party services is governed by their respective terms and privacy policies.

9. Beta Features

Campfire Labs may offer optional beta, experimental, or pre-release features ("Beta Features"). Beta Features are provided "as is," may be modified or discontinued at any time, and carry no warranties or service-level commitments.

10. Termination and Suspension

Campfire Labs may suspend or terminate your access at any time, with or without notice, for any reason including, without limitation, breach of these Terms, non-payment, or conduct deemed harmful to the Services or other users. Upon termination, all licenses granted to you terminate immediately, and Campfire Labs may delete associated data in accordance with its data-retention policies.

11. Intellectual Property

All intellectual-property rights in the Services, including all software, interfaces, graphics, designs, and documentation, are and shall remain the exclusive property of Campfire Labs and its licensors. No rights are granted except as expressly stated in these Terms.

12. Disclaimers

The Services are provided "as is" and "as available."

Campfire Labs expressly disclaims all warranties of any kind, whether express, implied, statutory, or otherwise, including any implied warranties of merchantability, fitness for a particular purpose, and non-infringement.

Campfire Labs does not warrant that the Services will be uninterrupted, error-free, secure, or free of viruses or other harmful components.

13. Limitation of Liability

To the maximum extent permitted by law, Campfire Labs shall have no liability whatsoever for any indirect, incidental, consequential, special, exemplary, or punitive damages, or for any loss of profits, revenues, data, or goodwill, arising from or relating to the use or inability to use the Services, even if advised of the possibility of such damages.

In no event shall Campfire Labs' aggregate liability exceed the amount paid by Customer for the Services during the twelve (12) months preceding the event giving rise to the claim, or one hundred U.S. dollars ($100), whichever is less.

14. Indemnification

You agree to indemnify, defend, and hold harmless Campfire Labs and its officers, directors, employees, and affiliates from and against all claims, damages, losses, liabilities, costs, and expenses (including reasonable attorneys' fees) arising out of or related to your use of the Services, your User Content, or your violation of these Terms.

15. Governing Law and Dispute Resolution

These Terms shall be governed by and construed under the laws of the State of Texas, without regard to its conflict-of-law principles.

Any dispute, claim, or controversy arising out of or relating to these Terms or the Services shall be resolved exclusively by binding arbitration administered in Dallas, Texas in accordance with the Commercial Arbitration Rules of the American Arbitration Association. You waive any right to a jury trial or to participate in a class, collective, or representative action.

The arbitrator's decision shall be final and binding, and judgment on the award may be entered in any court of competent jurisdiction.

16. Force Majeure

Campfire Labs shall not be liable for any failure or delay in performance resulting from events beyond its reasonable control, including acts of God, natural disasters, war, terrorism, labor disputes, government actions, or Internet or network failures.

17. International Use and Data Compliance

The Services and data hosting are located in the United States.

Campfire Labs makes no representation that the Services comply with data-protection laws outside the United States, including the EU General Data Protection Regulation (GDPR) or UK Data Protection Act.

Use of the Services from outside the United States is at your own risk.

Separate enterprise data-processing agreements may be executed for international compliance purposes.

18. Modifications

Campfire Labs may modify these Terms at any time by posting the updated version on its website or notifying users through the Services.

Your continued use of the Services after any modification constitutes acceptance of the revised Terms.

19. Survival

Sections 5 (User Content), 6 (AI Features), 10 (Termination), 11 (Intellectual Property), 12 (Disclaimers), 13 (Limitation of Liability), 14 (Indemnification), 15 (Governing Law), and 17 (International Use) shall survive termination of these Terms.
